1. Agreement to Terms

By using the services provided by Dixie Networks LLC ("Dixie Networks," "we," "us," or "our"), you ("customer," "you," or "client") agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use our services.

2. Services Provided

Dixie Networks provides web hosting, managed IT services, server management, and related technical services. The specific services included in your plan are described on our website and in your service agreement. We reserve the right to modify or discontinue any service with reasonable notice. You are responsible for maintaining current and accurate contact information so that you may receive any such notices.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials. You must provide accurate and current contact information. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. Failure to maintain accurate contact information may result in missed notifications, for which Dixie Networks shall not be liable.

4. Acceptable Use Policy

You agree not to use our services for any of the following:

Violations may result in immediate suspension or termination of your account without refund.

5. Payment Terms

Service fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). Invoices are due upon receipt. You are responsible for maintaining current and valid payment methods on file. We accept payment via PayPal. Accounts with unpaid invoices more than 7 days past due may be suspended. Accounts more than 30 days past due may be terminated.

7. Service Level Agreement (SLA)

Dixie Networks strives to maintain 99.9% uptime for hosting services. We are not liable for downtime caused by factors outside our reasonable control, including but not limited to natural disasters, network provider outages, upstream carrier issues, scheduled maintenance, or customer-caused problems. To receive any consideration for downtime, you must report the outage to Dixie Networks through the client portal or by email within 48 hours of the incident. The sole remedy for any qualifying downtime is a service credit, calculated as a pro-rated portion of your monthly fee, at our discretion. Service credits are not refundable and have no cash value.

8. Backups and Data Loss

You are responsible for maintaining your own backups of all data stored on our servers. While Dixie Networks may provide backup services as part of your plan, we are not liable for any loss of data, regardless of cause. We recommend maintaining off-site backups of all critical data.

9. Account Cancellation

You may cancel your service at any time by submitting a cancellation request through your client portal or by contacting . Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods. You must back up your data before cancellation, as account data may be permanently deleted within 7 days of cancellation. If you require Dixie Networks to retrieve and provide a backup of your data after cancellation, a backup retrieval fee of $35.00 will apply. This fee must be paid before the backup retrieval is performed. Account data deletion is performed manually by Dixie Networks staff and is not automated by the system.

10. Limitation of Liability

Dixie Networks is not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, loss of profits, loss of data, or loss of business, arising from the use of or inability to use our services. Our total liability for any claim shall not exceed the amount you paid for services in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dixie Networks LLC, its officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any law or third-party rights; or (d) any content or data you submit, transmit, or store on our servers. Dixie Networks reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. You will not enter into any settlement that imposes obligations on Dixie Networks without our prior written consent. You agree to promptly notify Dixie Networks of any claim for which indemnification is sought. This indemnification obligation will survive termination of your account.

12. Privacy

Your use of our services is also governed by our Privacy Policy.

13. Changes to Terms

Dixie Networks reserves the right to modify these Terms and Conditions at any time. While we will make reasonable efforts to communicate material changes to customers via email or client portal notification, it is your responsibility to periodically review the current version of these Terms and Conditions. The most current version will always be available on our website. Your continued use of our services after any changes constitutes acceptance of the updated terms, regardless of whether you received direct notification of the changes.

14. Governing Law

These terms are governed by the laws of the State of Arizona, USA. Any disputes shall be resolved in the courts of Maricopa County, Arizona.

15. Use of Artificial Intelligence

Dixie Networks utilizes artificial intelligence (AI) technologies to enhance various aspects of our services, including but not limited to:

By using our services, you acknowledge and agree that:

(a) AI systems may be involved in processing your support requests, monitoring your account for security purposes, and protecting our platform from abuse.

(b) AI-assisted support responses are subject to review by our team for matters involving account changes, billing adjustments, or other sensitive operations. AI does not make autonomous decisions regarding your account status, billing, or data.

(c) AI systems may analyze support ticket content, account activity, and network traffic for security and operational purposes. This analysis is used to improve service quality and protect our platform.

(d) You consent to the use of AI technologies as described above. We are committed to using AI responsibly and transparently, and we will make reasonable efforts to ensure that AI is not used in ways that compromise your privacy or the security of your data.

(e) We may update or modify our use of AI technologies as part of ongoing service improvements. Material changes to how AI is used in our services will be communicated in accordance with Section 13 (Changes to Terms).

16. General Provisions

(a) Entire Agreement. These Terms and Conditions, together with our Privacy Policy and Refund and Returns Policy, constitute the entire agreement between you and Dixie Networks regarding the use of our services. These terms supersede all prior or contemporaneous agreements, communications, understandings, and representations, whether oral or written. No statement, promise, or representation not contained in these terms shall be binding upon Dixie Networks.

(b) Severability. If any provision of these Terms and Conditions is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall remain in full force and effect. The parties agree to replace any unenforceable provision with a valid and enforceable provision that most closely reflects the original intent.

(c) No Waiver. The failure of Dixie Networks to enforce any provision of these Terms and Conditions at any time or for any period shall not be construed as a waiver of such provision or of the right to enforce it at a later time. No waiver shall be effective unless in writing and signed by Dixie Networks.

(d) Reservation of Rights. Dixie Networks reserves all rights not expressly granted in these Terms and Conditions. No right or remedy herein conferred is exclusive of any other right or remedy. The enumeration of specific rights and remedies herein shall not preclude the exercise of any other right or remedy available at law or in equity.

(e) No Third-Party Beneficiaries. These Terms and Conditions are intended solely for the benefit of the customer and Dixie Networks. No third party shall have any right to enforce any provision herein, and no third party shall be deemed a beneficiary of these terms under any circumstances.

(f) Force Majeure. Dixie Networks shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemic or epidemic, government action, labor disputes, internet or infrastructure failures, upstream provider outages, power outages, or shortages of transportation or supplies. Performance obligations shall be suspended during such events and resumed when the event ceases.

(g) Assignment. You may not assign, transfer, or delegate these Terms and Conditions or your rights and obligations hereunder to any third party without the prior written consent of Dixie Networks. Any attempted assignment in violation of this section shall be void. Dixie Networks may assign these terms freely, in whole or in part, without notice.

(h) Electronic Acceptance. By clicking an "I agree" button, checking a box, completing a signup form, using our services, or otherwise indicating your acceptance electronically, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. Such electronic acceptance shall have the same legal force and effect as a handwritten signature. If you do not agree, you must not use our services.

(i) Headings for Convenience. The headings and section titles in these Terms and Conditions are for convenience and organization only and shall not affect the interpretation or meaning of any provision.

(j) Order of Precedence. In the event of any conflict or inconsistency between these Terms and Conditions and any other page, document, or communication on our website, these Terms and Conditions shall prevail and control. If a conflict exists between the Terms and Conditions and the Privacy Policy, the Terms and Conditions shall govern except where the Privacy Policy provides greater protection to customer data.
